The terms for Brewstiller's paid regulatory-filing feature — you review, certify, and file.

Plain-language summary
Brewstiller's filing feature prepares draft regulatory forms — TTB operations reports, excise returns, state filings — from the production records in your workspace. Before you can use it, you accept these terms. The honest version of the deal:
- The feature prepares drafts. You file. You review every draft, confirm it's right, sign it, and submit it. The regulator's relationship is with you, the permit holder — not with us.
- The drafts are only as good as your records. The software computes from what you entered. It also can't see facts outside your workspace (like whether you're in a controlled group for tax purposes) — you have to supply and verify those.
- You must complete the review step. We won't produce a final, submission-ready filing until you've gone through the review and confirmed it. That's not friction for its own sake — you're the one certifying to the government.
- This is software, not a tax professional. We're not your accountant, lawyer, or filing agent, and this feature isn't advice.
- Our liability for this feature is specifically limited. If a defect in our computation — not your data — directly causes a regulator to assess a penalty or interest against you, we'll reimburse that direct penalty and interest, within the filing liability cap. We never cover the underlying tax you actually owed (nobody in this industry does — you'd have owed it with perfect software), and we never cover lost business, lost profits, a permit suspension or revocation, a plant shutdown, or any other knock-on loss. Beyond that remedy, the caps in these terms and the Terms of Service apply. This remedy is available only on a paid Commercial Plan that includes the Filing Feature — not to hobby or free users.
- Timeliness is yours. Prepare and file with margin. Don't schedule your compliance for the last hour of the due date.

1. Relationship to the Terms of Service; acceptance
1.1 Supplemental terms
These Compliance Filing Terms ("Filing Terms") supplement the Brewstiller Terms of Service (the "Terms") and govern your use of the Filing Feature (defined below). On the subjects they address, the Filing Terms control over the Terms (Terms §27.2). Capitalized terms not defined here have the meanings in the Terms.
1.2 Acceptance and consideration
The Filing Feature is available only to Commercial Customers on a paid Plan that includes it. You accept these Filing Terms by an explicit, recorded acceptance action (a distinct click-through at feature activation by a user with authority to bind the Customer) before the Filing Feature will produce any Final Filing Output. The Fees for your paid Plan include the Filing Feature and constitute consideration for these Filing Terms, including the limitations of liability in §6.
1.3 Feature availability gate
Brewstiller will not offer the Filing Feature for general use until Brewstiller's internal release criteria for it are met, including third-party expert validation of form mappings and computations per Brewstiller's release process. Availability of the Filing Feature in your account is not a representation that it is suitable for your specific circumstances.
2. Definitions
- "Filing Feature" means the Service functionality that prepares Filing Outputs, including form-mapping, computation of derived regulatory values (e.g., proof-gallon roll-ups, tax determinations), period roll-ups, and generation of draft and final filing documents.
- "Filing Output" has the meaning in the Terms: any regulatory form, report, return, or filing-ready document (or portion) the Service prepares from Customer Data.
- "Draft Filing Output" means a Filing Output before the Filing Review Step is completed for it.
- "Final Filing Output" means a Filing Output generated after you complete the Filing Review Step for it, in the form intended for your signature and submission.
- "Filing Review Step" means the mandatory in-product review-and-confirmation flow described in §4.
- "Computational Defect" means an error in the Filing Feature's own arithmetic, unit conversion, or form-field mapping that causes a Final Filing Output to differ from what the Filing Feature was designed to produce from the same Customer Data and Out-of-Band Facts as you confirmed them. A Computational Defect does not include anything listed in §6.4 (exclusions).
- "Out-of-Band Facts" means facts material to a filing that the Service cannot derive from your Workspace data and that you must supply or confirm — including, without limitation, controlled-group membership and single-taxpayer aggregation status affecting reduced tax rates or credits (e.g., CBMA), elections you have made with a regulator, bond status, and permit scope.
3. What the Filing Feature does — and does not do
3.1 Scope at v1
At v1, the Filing Feature prepares documents for you to review, sign, and submit yourself (e.g., PDF forms). The Filing Feature does not submit anything to any regulator, does not interface with any government e-filing system, and does not hold funds or pay taxes. If Brewstiller later offers a direct-submission capability, it will be introduced by an update to these Filing Terms with notice; until then, any statement anywhere describing "one-click filing" or similar is a description of draft preparation, not of submission.
3.2 Drafts from your data
Every Filing Output is prepared from (a) Customer Data you and your users entered, (b) sensor and device data you connected, and (c) Out-of-Band Facts you supplied or confirmed. §8 and §9.7 of the Terms apply in full: the accuracy and completeness of inputs is your responsibility, and the Filing Feature's outputs inherit any defect in them.
3.3 Non-overridable computations and your escalation duty
For data-integrity reasons, certain derived values (e.g., proof-gallon computations) cannot be manually edited in-place. If you believe a computed value is wrong, you must not file it. Do not complete the Filing Review Step for a Filing Output you believe to be inaccurate; instead correct the underlying records, or contact support and refrain from filing through the Service for that period (you can always prepare the filing outside the Service). Completing the Filing Review Step for a value you believed to be wrong is a failure of your review obligation, not reliance on ours.
3.4 Out-of-Band Facts
Where the Filing Feature prompts you for Out-of-Band Facts, you must answer accurately and keep the answers current. Where a regulatory determination depends on facts of your business that the Service has no way to know and has not prompted for, your obligation to know and apply your own circumstances is unchanged (Terms §8.2).
3.5 Regulatory change
Forms, rates, and rules change. The Filing Feature reflects Brewstiller's understanding of the referenced forms and rules as of the version date shown on each Filing Output. Brewstiller undertakes commercially reasonable efforts to keep mappings and rates current, but does not warrant that any Filing Output reflects the law in force on the date you file. If a regulator has changed a form or rate after the version date shown, do not file the output without verifying it.
3.6 No professional services
Terms §8.3 applies with emphasis: the Filing Feature is software. It is not the practice of law or accounting, not tax-return preparation by a professional, and not a substitute for the advisors a regulated producer should retain. Brewstiller does not review your filings for you (the Filing Review Step is your review), does not represent you before any agency, and is not your agent for any regulatory purpose.
4. The Filing Review Step
4.1 Mandatory review and confirmation
Before the Service generates a Final Filing Output, the responsible user must complete the Filing Review Step, which requires, at minimum: (a) presentation of the complete draft, including the computed values and the source-record references behind them; (b) presentation of any warnings, unresolved validation flags, and Out-of-Band Fact confirmations; and (c) an affirmative confirmation, recorded with the user's identity and timestamp, substantially in the form:
"I have reviewed this draft filing. I confirm that the underlying records and the facts I supplied are accurate and complete to my knowledge, and I adopt this document as my own filing. I understand Brewstiller prepared it as a draft from my data and that I, not Brewstiller, am responsible for its contents and its submission."
4.2 Effect of the confirmation
Your confirmation is a representation to Brewstiller on which Brewstiller relies in generating the Final Filing Output. It is also the contractual allocation point: from confirmation forward, the filing is yours. The confirmation record (user, timestamp, document version, warnings shown) is retained as part of your Workspace's audit log.
4.3 No bypass
You may not bypass, automate, delegate to a person without genuine review authority, or instruct anyone to click through the Filing Review Step without performing the review. Doing so is a material breach of these Filing Terms and forfeits any remedy under §6.3.
4.4 Two-person controls
Where the Service offers (or your Workspace requires) two-person sign-off for particular records or filings, that control is a feature you configure and operate; its presence does not transfer review responsibility to Brewstiller, and Brewstiller's remedies framework in §6 is unchanged by whether you used it.
5. Your obligations
You agree, as conditions of using the Filing Feature, to:
- Hold all permits and registrations required for the operations covered by each filing, and file only for periods and premises within their scope.
- Maintain accurate, timely production records in the Workspace (contemporaneous entry, not deadline-eve reconstruction).
- Supply and keep current all Out-of-Band Facts.
- Perform a genuine Filing Review Step review for every filing.
- File on time, with margin. Build lead time into your filing calendar; Service availability at any particular hour is not an assumption your compliance may depend on (Terms §17.6).
- Retain your own copies of everything you file (the Service's export exists for this; Terms §9.5).
- Promptly notify Brewstiller at [email protected] if you discover any error in a Filing Output, whether or not you filed it, and reasonably cooperate so the cause can be identified and corrected for you and other customers.
- Mitigate: if a filed filing turns out to be wrong, promptly amend/correct it with the regulator per the applicable procedure.
6. Warranties, remedies, and the filing-specific limitation of liability
6.1 Limited warranty for the Filing Feature
Brewstiller warrants that the Filing Feature will perform its computations and form mappings substantially as described in the Documentation current at the version date shown on the relevant Filing Output. EXCEPT AS STATED IN THIS §6.1, THE FILING FEATURE IS PROVIDED WITH ALL FAULTS AND WITHOUT ANY OTHER WARRANTY, AND TERMS §24 APPLIES IN FULL. BREWSTILLER DOES NOT WARRANT ANY REGULATORY OUTCOME (TERMS §8.8).
6.2 Exclusive remedies overview
Your exclusive remedies for any claim arising out of or related to the Filing Feature or any Filing Output are, in this order: (a) correction of the defect and regeneration of the affected Filing Output; (b) the Penalty Reimbursement Remedy in §6.3; and (c) subject to §6.5, termination and refund remedies under the Terms.
6.3 Penalty Reimbursement Remedy (paid Commercial Filing Feature only)
This remedy is a commitment Brewstiller makes only to Commercial Customers on a paid Plan that includes the Filing Feature. It is not available to Hobby Workspaces, free tiers (including Commercial Free), or Beta Participants.
If (a) a Computational Defect in a Final Filing Output that you filed causes a regulator or tax authority to assess a direct financial penalty or interest against you, (b) you satisfied all §5 obligations (including genuine review, accurate inputs, accurate Out-of-Band Facts, and timely filing), (c) you notify Brewstiller within 30 days of the first regulator notice and before responding substantively to the regulator, and (d) you reasonably cooperate with Brewstiller (including pursuing available penalty-abatement and amendment procedures), then Brewstiller will reimburse the penalty and interest actually paid by you and directly attributable to the Computational Defect, subject to and within the filing-specific liability cap in §6.5.
The Penalty Reimbursement Remedy covers only the direct financial penalty and interest the authority assesses. It never covers, and Brewstiller is not liable for: the underlying tax, duty, or excise itself (which you owed regardless); lost business, lost profits, or lost revenue; the suspension, revocation, non-renewal, or conditioning of any permit, license, bond, or registration; any plant shutdown, closure, or interruption of your operations; or any other indirect, incidental, consequential, special, or extended harm of any kind (see §6.4 and Terms §22.1 and §22.3); amounts attributable to your data, your Out-of-Band Facts, your late filing, or your failure to review; or professional fees except as Brewstiller pre-approves in writing.
6.4 Exclusions
Brewstiller has no liability (and §6.3 does not apply) to the extent a claim or loss arises from:
- Inaccurate or incomplete Customer Data or Out-of-Band Facts, however arising.
- Any filing made without completing the Filing Review Step, or with a bypassed or non-genuine review (§4.3).
- Your filing of a Draft Filing Output, a sample/preview output, or an output whose version-date warning (§3.5) indicated a superseded form or rate.
- Late submission, missed deadlines, or filing outside the scope of your permits.
- Modifications you made to a Filing Output after generation.
- Regulatory change after the version date shown on the output.
- Any matter for which you failed to mitigate per §5 (including declining to amend).
- Use of the Filing Feature during any period when your subscription did not include it.
6.5 Filing-specific liability cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING ANYTHING IN THE TERMS, BREWSTILLER'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE FILING FEATURE AND ALL FILING OUTPUTS — REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE AND NEGLIGENT MISREPRESENTATION), STRICT LIABILITY, OR STATUTE — WILL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID FOR THE PLAN THAT INCLUDES THE FILING FEATURE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) FIVE HUNDRED US DOLLARS ($500). AMOUNTS PAID UNDER THE §6.3 PENALTY REIMBURSEMENT REMEDY COUNT AGAINST, AND ARE PAID WITHIN, THIS §6.5 CAP; THE REMEDY DOES NOT CREATE LIABILITY ABOVE THIS CAP.
TERMS §22.3 (EXCLUDED AMOUNTS — YOUR TAXES AND REGULATORY CONSEQUENCES) APPLIES TO THE FILING FEATURE WITHOUT MODIFICATION, EXCEPT FOR THE NARROW §6.3 PENALTY REIMBURSEMENT REMEDY (WHICH REMAINS WITHIN THE §6.5 CAP). TERMS §22.1 (NO INDIRECT DAMAGES) AND §22.5 (ALL THEORIES) APPLY WITHOUT MODIFICATION.
6.6 Basis of the bargain; allocation of expertise
You acknowledge that: (a) the Fees for the Filing Feature are a small fraction of the regulatory amounts your filings concern, and the §6 architecture is the only basis on which a software vendor can offer this feature at these Fees; (b) you, the permit holder, have the knowledge of your own operations, the regulatory relationship, and the review opportunity that Brewstiller lacks; and (c) you have had the opportunity to have these Filing Terms reviewed by your own counsel.
7. Indemnification
Terms §23.1 applies, and specifically: you will defend, indemnify, and hold Brewstiller harmless from third-party and governmental claims arising out of filings you submit, except to the extent of amounts Brewstiller owes you under §6.3 for the same event.
8. Term, suspension, and survival
8.1 Term
These Filing Terms apply from your acceptance until your subscription no longer includes the Filing Feature (downgrade, cancellation, dunning downgrade per Terms §5.6, or termination).
8.2 Effect of ending
When the Filing Feature lapses: previously generated Filing Outputs remain in your Workspace subject to the Terms and the Privacy Policy retention rules; no new Final Filing Outputs are generated; your regulatory obligations continue unaffected — plan your filing method transition before a downgrade takes effect.
8.3 Suspension for integrity
Brewstiller may suspend generation of Final Filing Outputs (globally or for an affected form) upon discovering a suspected Computational Defect or a regulatory change that invalidates a mapping, until corrected. Where a suspension is in effect, the Service will say so; suspension to prevent wrong filings is not a Service defect. Prolonged suspension of a form you need is addressed through the Terms' termination and refund provisions.
8.4 Survival
§§2, 3.6, 4.2, 5 (notice/mitigation/retention), 6, 7, and 8.4 survive.
9. Changes to these Filing Terms
Material changes follow Terms §26 (30 days' notice; object by terminating). Changes required by regulatory change may take effect on the maximum practicable notice. Version history is maintained below; each Final Filing Output records the Filing Terms version in force when it was generated.
